Terms of Service

Platform: Black Belt Academy (“Black Belt Academy”)

1. Fees & Payments

1.1 Product Fees

• You agree to pay all applicable fees for each product or service in accordance with the pricing and payment terms at purchase.
• Payments are processed through QuickBooks Online and PayPal, subject to their terms and privacy policies.
• All fees are in U.S. dollars and non-refundable, except as required by law or expressly stated in these Terms.
• Technical support covers platform functionality only; we do not support custom coding or third-party integrations.
• We are not responsible for foreign exchange fees or currency conversion differences.

1.2 Subscriptions & Recurring Billing

• Subscriptions are billed on a recurring basis (monthly or annual).
• Monthly billing cycles are billed on an annual term unless otherwise stated.
• Payment is charged at purchase and at the start of each renewal term.
• Subscriptions renew automatically unless cancelled at least one business day before renewal via your account or by contacting support@simpleacademy.ai.
• Price changes take effect at the next renewal; continued use indicates acceptance.

1.3 Lifetime Memberships

• Lifetime subscriptions are valid for the lifetime of the product.
• Refunds are available only within 72 hours of purchase.
• Multi-payment plan lifetime memberships must be cancelled within 72 hours of the first payment to qualify for a refund; otherwise, future payments remain due.
• Lifetime Consultant memberships (where applicable) provide continued access to Black Belt Academy and all current/future Readitfor.me/Simple brand programs.

1.4 Taxes

• Prices exclude applicable taxes (sales tax, VAT, GST). You are responsible for paying all such taxes.
• U.S. sales tax is calculated based on your billing address unless valid exemption documentation is provided.
• International taxes may be applied unless exemption documentation is provided.
• If you are required by law to withhold taxes, you must provide supporting documentation.

1.5 Refund Policy

• Refunds are available within 72 hours of the first subscription payment.
• Requests must be made via support@simpleacademy.ai.
• After 72 hours, payments are non-refundable and no credits will be issued. Abuse of this policy may result in refusal of refunds.

1.6 Authorized Payment Method

• You must maintain a valid payment method on file.
• We may update payment details automatically through your provider.
• Accounts past due by 50 days may be suspended unless prior arrangements are made.

2. Promotional & Lifetime Offers

• Promotional offers last for the advertised period.
• Unless cancelled before the end of the promotional period, subscriptions renew automatically at the then-current rate.
• Cancelling a lifetime offer within 72 hours revokes access.

3. License & Usage Rights

3.1 Course Materials

• Course and training materials are for educational use only.
• Repurposing, reselling, or distribution requires explicit written consent or a reseller license.

3.2 Platform Content Distribution

• You may only distribute content you created or are licensed to distribute.
• Unauthorized resale, redistribution, or creation of competing services, courses, or certification programs is prohibited.

3.3 AI Protocols & Tools

• AI protocols, training, and tools provided through Black Belt Academy are licensed for individual organizational use only.
• Hosting, reselling, reverse engineering, or external consulting with these tools is prohibited.

3.4 Certifications

• Certificates, designations, or credentials may be tied to specific membership levels and may require ongoing compliance, education, or renewal.

4. Recording & Distribution

• Black Belt Academy licensees may deliver licensed content live or via video conference.
• If recorded, such content must be hosted as protected content and may only be shared externally through approved platforms.
• Sharing direct access links is prohibited.
• Access to recorded content requires at least one active paid seat on the platform.

5. Confidentiality (NDA)

5.1 Obligation

You may gain access to confidential information (e.g., strategies, customer data, product details). You agree not to disclose it without written consent.

5.2 Permitted Disclosure

Disclosure is allowed only to employees/contractors who require access and are bound by confidentiality obligations.

5.3 Duration

Obligations survive termination of your use of Black Belt Academy.

6. Contractors & Commissions

• Only approved contractors or affiliates may sell subscriptions under the current commission structure.
• Commission structures may change unless otherwise contractually agreed.
• Consultants and affiliates are independent contractors, not employees, partners, or agents.

7. Enforcement

7.1 Validity

If any provision of these Terms is found unenforceable, it will be modified as necessary to remain enforceable.

7.2 Governing Law

These Terms are governed by and construed under the laws of the State of Texas, without regard to conflict-of-law principles.
